本利用規約（以下「本規約」といいます）は、DeepLocal Inc.が運営する「TRAVIS PAYNE × 96KURo-design® Official Collaboration Store」（以下「本サイト」といいます）における商品の販売およびこれに関連するサービスについて定めるものです。
These Terms of Sale (“Terms”) govern the sale of products and related services offered through the “TRAVIS PAYNE × 96KURo-design® Official Collaboration Store” (the “Website”), operated by DeepLocal Inc.

本規約は、本サイトを通じた商品の購入およびこれに関連するすべての取引に適用されます。
お客様は、本サイトを通じて商品を注文することにより、本規約および本サイトに掲載されている各種ポリシーの内容を確認し、これに同意したものとします。
These Terms apply to all purchases of products and related transactions made through this Website.
By placing an order through the Website, the customer acknowledges that they have reviewed and agreed to these Terms and all applicable policies published on the Website.

本サイトにおける商品の販売主体（Merchant of Record）は、DeepLocal Inc.です。
DeepLocal Inc.は、本商品の販売、決済処理、税務対応、在庫管理、領収書の発行、返金、返品・交換対応、カスタマーサービス、配送および関税管理を担当します。
96KURo-design®は、商品の企画・デザイン、製造、原材料および品質管理、商品表示、安全性その他製造に関する業務を担当します。
Travis Payne Productions Inc.は、本コラボレーションに関連するブランド、氏名、肖像その他承認されたブランド資産に関する権利を有します。
DeepLocal Inc. acts as the Merchant of Record for all products sold through this Website.
DeepLocal Inc. is responsible for sales, payment processing, tax administration, inventory management, issuance of receipts, refunds, returns and exchanges, customer service, shipping, and customs administration.
96KURo-design® is responsible for product planning and design, manufacturing, materials, quality control, product information, safety, and other manufacturing-related matters.
Travis Payne Productions Inc. holds the rights relating to the brand, name, likeness, and other approved brand assets used in connection with this collaboration.

第3条 商品および販売数量 / Article 3 – Products and Limited Quantity
本サイトで販売する商品は、TRAVIS PAYNE × 96KURo-design® Collaboration Productとして企画された限定商品です。
初回販売数量は55セット限定とし、予定販売数量に達した時点で販売を終了します。
追加生産、再販売、新色、新サイズまたは派生商品等は、本販売に当然に含まれるものではありません。
The products offered through this Website are limited-edition products developed as:
TRAVIS PAYNE × 96KURo-design® Collaboration Product
The initial release is limited to 55 sets, and sales will end once the planned quantity has been reached.
Any additional production, restocking, new colors, new sizes, or derivative products are not automatically included in this release.

第4条 受注生産 / Article 4 – Made-to-Order Production
本商品は受注生産方式で製造されます。
予約販売期間終了後、日本国内の職人・工房による製造を開始します。
天然素材および職人による手仕事の特性上、色、革の表情、質感、寸法、縫製、仕上がりその他に若干の個体差が生じる場合があります。
商品の使用または品質に支障のない範囲の個体差については、本商品の特性として取り扱います。
The products are manufactured on a made-to-order basis.
Production by artisans and workshops in Japan will begin after the pre-order period has ended.
Because natural materials and handcrafted processes are used, slight variations may occur in color, leather appearance, texture, dimensions, stitching, finish, and other details.
Variations that do not affect the normal use or quality of the product are considered inherent characteristics of the product.

第5条 注文および売買契約の成立 / Article 5 – Orders and Formation of Contract
お客様が本サイト上で必要事項を入力して注文手続を完了し、決済が正常に処理された後、当社がお客様に注文を受領した旨を通知した時点で売買契約が成立します。
当社は、以下の場合、注文を承諾せず、または成立した注文を取り消すことがあります。
1. 決済が正常に完了しない場合
2. 入力された情報に重大な誤りまたは虚偽がある場合
3. 不正な決済または不正利用の疑いがある場合
4. 販売予定数量を超える注文が行われた場合
5. 製造または商品の提供が不可能となった場合
6. その他、合理的な理由により注文を受けることが適切でないと当社が判断した場合
当社都合により決済済みの注文を取り消す場合は、対象となる商品代金等を返金します。
A sales contract is formed when the customer completes the order process, payment is successfully processed, and we send confirmation that the order has been received.
We may refuse or cancel an order in any of the following circumstances:
1. Payment cannot be successfully processed.
2. Information provided by the customer contains material errors or false information.
3. Fraudulent payment or unauthorized use is suspected.
4. An order exceeds the planned sales quantity.
5. Production or supply of the product becomes impossible.
6. We otherwise reasonably determine that accepting the order would be inappropriate.
If we cancel a paid order for reasons attributable to us, the applicable product price and other amounts paid will be refunded.

第6条 販売価格 / Article 6 – Sales Price
商品の販売価格は、各商品ページおよび購入手続画面に表示します。
お客様には、ご注文確定時に表示されている販売価格が適用されます。
The sales price of each product is displayed on the relevant product page and during the checkout process.
The price displayed at the time the order is confirmed will apply to the purchase.

第7条 支払い / Article 7 – Payment
お客様は、本サイト上で利用可能な決済方法により、商品代金および購入時に表示されるその他の費用を支払うものとします。
決済方法および支払時期については、購入手続画面および「特定商取引法に基づく表記」に表示します。
Customers must pay the product price and any other charges displayed at the time of purchase using one of the payment methods available on the Website.
Available payment methods and payment timing are displayed during checkout and in the Legal Notice under the Act on Specified Commercial Transactions.

第8条 海外配送、関税および輸入関連費用 / Article 8 – International Shipping, Customs Duties and Import Charges
日本国外への配送については、配送先の国または地域に応じて、国際送料、輸入関税、輸入税・VAT、通関関連費用その他の輸入関連費用が発生する場合があります。
これらの輸入関連費用は、原則として購入者の負担となります。
日本国内から海外へ発送する場合、適用される関税については、チェックアウト時に表示される送料関連費用の中に関税相当額を含め、事前にお支払いいただく場合があります。送料および輸入関連費用は、商品販売価格とは区別して表示します。
配送先の国・地域の制度、通関当局による判断その他当社が合理的に管理できない事情により、購入時に算定されなかった税金、手数料その他の費用が別途発生する場合があります。
For shipments outside Japan, international shipping fees, customs duties, import taxes, VAT, customs clearance charges, and other import-related costs may apply depending on the destination country or region.
As a general rule, such import-related costs are the responsibility of the purchaser.
For international shipments from Japan, applicable customs duties may be collected in advance as part of the shipping-related charges displayed at checkout.
Shipping and import-related charges will be displayed separately from the product sales price.
Additional taxes, fees, or other charges that were not calculated at the time of purchase may be imposed due to local regulations, decisions by customs authorities, or other circumstances beyond our reasonable control.

第9条 製造および配送 / Article 9 – Production and Delivery
予定製造期間、発送予定時期および配送予定期間は、商品ページまたは購入手続時に表示します。
職人の稼働状況、材料調達、製造工程、自然災害、感染症、戦争・紛争、輸送障害、通関手続、ストライキその他当社の合理的な管理を超える事情により、製造または配送が遅延する場合があります。
遅延が判明した場合、当社は合理的な範囲でお客様への案内に努めます。
Estimated production periods, shipping dates, and delivery timeframes will be displayed on the product page or during the checkout process.
Production or delivery may be delayed due to artisan availability, material procurement, manufacturing processes, natural disasters, infectious disease outbreaks, war or conflict, transportation disruptions, customs procedures, strikes, or other circumstances beyond our reasonable control.
If a delay becomes known, we will make reasonable efforts to inform the customer.

第10条 キャンセル / Article 10 – Cancellations
本商品は数量限定かつ受注生産商品のため、注文確定後のお客様都合によるキャンセルは原則としてお受けできません。
ご注文前に、商品、サイズ、数量、配送先その他の注文内容を十分にご確認ください。
ただし、適用される法令により取消しまたは返金が必要となる場合は、当該法令に従います。
Because these products are limited in quantity and made to order, cancellations due to customer circumstances cannot generally be accepted once an order has been confirmed.
Please carefully review the product, size, quantity, shipping address, and all other order details before completing your purchase.
Where cancellation or a refund is required under applicable law, we will comply with such legal requirements.

第11条 返品・交換 / Article 11 – Returns and Exchanges
お客様都合による返品・交換は原則としてお受けできません。
ただし、以下の場合は商品到着後7日以内にCustomer Supportまでご連絡ください。
1. ご注文と異なる商品が届いた場合
2. 商品に重大な製造上の不良がある場合
3. 配送中に商品が著しく破損した場合
返品、交換、修理および返金の具体的な条件については、「Shipping & Returns Policy」に定めます。
Returns or exchanges due to customer circumstances cannot generally be accepted.
However, please contact Customer Support within seven (7) days of receiving the product if:
1. You receive a product different from the one ordered.
2. The product has a significant manufacturing defect.
3. The product is significantly damaged during shipping.
Detailed conditions relating to returns, exchanges, repairs, and refunds are set out in our Shipping & Returns Policy.

第12条 関税等の未払いおよび商品の受取拒否 / Article 12 – Unpaid Customs Charges and Refusal of Delivery
お客様が必要な輸入関連費用を支払わない場合、必要な通関手続に対応しない場合、または商品の受取りを拒否した場合、それにより生じる返送、保管、再配送または廃棄等の費用について、適用法令上認められる範囲でお客様にご負担いただく場合があります。
返金の可否および返金額については、商品の状態、既に発生した費用および適用法令等に基づき判断します。
If the customer fails to pay required import-related charges, fails to complete required customs procedures, or refuses delivery, the customer may be responsible, to the extent permitted by applicable law, for costs arising from return shipment, storage, redelivery, disposal, or related handling.
Whether a refund will be issued, and the amount of any refund, will be determined based on the condition of the product, costs already incurred, and applicable laws and regulations.

第13条 知的財産権 / Article 13 – Intellectual Property Rights
Travis Payne氏の氏名、肖像、署名、ブランドアイデンティティ、クリエイティブディレクションおよびTravis Payne Productions Inc.が提供する素材に関する権利は、Travis Payne Productions Inc.またはその他の正当な権利者に帰属します。
96KURo-design®が本プロジェクト以前から保有するブランド資産、製造技術、製造方法、職人技術、ノウハウ、デザインその他の知的財産は、96KURo-design®または各正当な権利者に帰属します。
本コラボレーション専用のロゴ、デザイン、写真、映像、文章その他本サイト上のコンテンツを、権利者の事前の許可なく複製、転載、改変、販売、配布、ライセンス、商業利用その他の方法で利用することを禁止します。
All rights relating to Travis Payne’s name, likeness, signature, brand identity, creative direction, and materials provided by Travis Payne Productions Inc. belong to Travis Payne Productions Inc. or the applicable lawful rights holder.
All brand assets, manufacturing techniques, production methods, craftsmanship, know-how, designs, and other intellectual property owned by 96KURo-design® prior to this project remain the property of 96KURo-design® or their respective lawful rights holders.
No collaboration-specific logos, designs, photographs, videos, text, or other content appearing on this Website may be reproduced, republished, modified, sold, distributed, licensed, commercially exploited, or otherwise used without prior authorization from the relevant rights holder.

第14条 転売および不正利用 / Article 14 – Resale and Unauthorized Use
当社は、以下に該当すると合理的に判断した注文について、注文数量を制限し、または注文を取り消す場合があります。
* 転売または再販売を主たる目的とした注文
* 不正な決済手段を使用した注文
* 虚偽情報を使用した注文
* 本サイトまたは第三者の権利を侵害する行為に関連する注文
* その他、本サイトの正常な運営を妨げる行為に関連する注文
We may limit or cancel orders where we reasonably determine that the order involves:
* Purchase primarily for resale or commercial redistribution
* Fraudulent or unauthorized payment methods
* False or misleading information
* Conduct that infringes the rights of this Website or any third party
* Other conduct that interferes with the proper operation of the Website

第15条 責任 / Article 15 – Liability
当社は、適用法令上認められる範囲において、当社の合理的な管理を超える事由によって生じた配送遅延その他の義務の不履行について責任を負わないものとします。

To the extent permitted by applicable law, we shall not be liable for delays in delivery or other failure to perform our obligations resulting from circumstances beyond our reasonable control.

当社は、法令の変更、本サービスの内容変更その他合理的な必要性がある場合、本規約を変更することがあります。
変更後の規約は、本サイトに掲載した時点または別途定める効力発生日から適用します。
We may amend these Terms where reasonably necessary due to changes in applicable laws, changes to our services, or other legitimate circumstances.
The amended Terms will become effective when published on the Website or on any separately specified effective date.

第17条 準拠法および紛争 / Article 17 – Governing Law and Disputes
本規約は、お客様に適用される強行法規を妨げない範囲で、日本法に準拠します。
本サイトにおける商品の購入その他本規約に関して紛争が生じた場合、当事者間で誠実に協議し、その解決に努めます。
協議によって解決しない場合は、適用される法令に従い、管轄権を有する裁判所において解決するものとします。
These Terms are governed by the laws of Japan, without prejudice to any mandatory consumer protection laws or other mandatory laws applicable to the customer.
If any dispute arises in connection with a purchase through the Website or these Terms, the parties will first seek to resolve the matter through good-faith discussions.
If the dispute cannot be resolved through discussion, it will be submitted to a court of competent jurisdiction in accordance with applicable law.
